DRAFT, for Mark/solicitor review. This is not final legal text.

Funeral Home Partner Terms

Version 2026-10-01-draft (draft)

DRAFT, for Mark/solicitor review. This is a working draft prepared from the decisions of 1 October 2026. It is not final legal text and it is not legal advice. Every point marked [TO CONFIRM: …] is still open.

1. About these terms

These terms are an agreement between RIP Funerals Limited t/a RIP Ireland ("RIP Ireland", "we", "us"), a company registered in Ireland (Company No. 760982), registered office Riverstown Business Park, Tramore, Co. Waterford, X91 TW21, and the funeral home named in the onboarding form ("the Funeral Home", "you"). [TO CONFIRM: company number and registered office are taken from the current website; check them against the CRO record]

  • You accept these terms by e-signature when your funeral home is onboarded. We record the name of the person signing, the date and time, and the version of these terms that was signed.
  • The person signing confirms that they are authorised to sign for the Funeral Home.
  • Our website Terms & Conditions and Privacy Policy also apply. If they conflict with these terms on anything between you and us, these terms apply.
  • If you choose to collect support for a charity on any wall, the Charity Handling Terms also apply.

2. Words we use

  • Platform: the RIP Ireland website and the tools we provide to funeral homes.
  • Wall: a memorial page or notice for a person who has died, published on the Platform.
  • Family: the family of the person who has died, or whoever the family has asked to act for them.
  • Support payment: money given by a member of the public on a Wall towards funeral costs or, where chosen, a charity.
  • Gift: a remembrance gift ordered through the Platform for delivery to a family or graveside.
  • Local supplier: a gift supplier that you bring to the Platform, shown only on your Walls.
  • National supplier: a gift supplier that we bring to the Platform, shown on every Wall.

3. Free to start

  • There is no charge to join the Platform.
  • Walls for families who come to us through you are free for those families. The price we charge families who come to us directly does not apply to Walls you create.
  • For an individual funeral home we may agree a longer free period, a reduced price, or a waiver. Any such arrangement is recorded on your account. [TO CONFIRM: how an agreed free period or waiver is confirmed to the funeral home, for example by email]

4. Subscription

  1. The subscription is €125 per month or €1,200 per year. You choose monthly or annual billing when you are onboarded. [TO CONFIRM: whether these prices include VAT]
  2. The subscription starts automatically when the first gift is sold on any of your Walls, unless a free period or waiver agreed under section 3 still applies. We will email you when it starts.
  3. When you are onboarded you save a payment method (card or SEPA Direct Debit, through our payment provider Stripe) and give your explicit consent for us to charge it for the subscription. We never charge you without that saved consent.
  4. We may pause or waive the subscription for your funeral home at any time.
  5. [TO CONFIRM: automatic renewal, how to cancel and the notice needed, refunds for an annual plan that ends early, and switching between monthly and annual]
  6. [TO CONFIRM: what happens if a payment fails, and how much notice we give before a price change]

5. Support payments

  • Members of the public can make support payments on your Walls. Support payments are paid to your funeral home's own Stripe account through Stripe Connect. [TO CONFIRM by solicitor: wording on whether RIP Ireland holds support money at any point]
  • A support fee of 7.5% applies to each support payment. [TO CONFIRM: whether the fee is added on top for the person supporting, or deducted from the amount]
  • [TO CONFIRM: whether Stripe's own processing fees are covered by the support fee or charged to the Funeral Home]
  • For each Wall you choose where support goes: towards funeral costs, or to a charity. If you choose a charity, the Charity Handling Terms apply.
  • Your Stripe account is also governed by Stripe's own terms for connected accounts. [TO CONFIRM: the Stripe agreement and account type to reference]
  • [TO CONFIRM: who bears refunds, disputes and chargebacks on support payments, and any fees for them]

6. Checking payouts before you go live

Before your Walls can accept support payments:

  1. Stripe must confirm that your account can accept payments and receive payouts.
  2. We make a real payment of €5 to your account. You confirm that it arrived in the correct bank account, and we then refund it.

We do this for every funeral home, as an automatic step in onboarding plus a check by our team. [TO CONFIRM: whether the check is repeated when a funeral home changes its payout bank account]

7. Gifts

National suppliers

  • We bring national suppliers to the Platform. Their gifts are shown on every Wall.
  • Our commission on national supplier gifts is the margin we agree with each supplier. You do not set a margin on these gifts. [TO CONFIRM: whether funeral homes receive any share of national supplier gift sales]

Local suppliers

  • You bring local suppliers to the Platform, and we can help. Their gifts are shown only on your Walls.
  • You set your own margin on local supplier gifts in your account, anywhere from 0% to 50%.
  • Our commission on local supplier gifts is 5% by default. We may agree a lower rate for your funeral home. [TO CONFIRM: what the percentages are calculated on (for example the gift price with or without delivery and VAT), and how much notice we give before changing our commission]
  • The supplier receives the balance.
  • You are responsible for making sure that local suppliers you bring are genuine businesses able to deliver what they offer. [TO CONFIRM: the terms local suppliers accept, and who handles complaints and refunds on gift orders]

Every gift order

  • Every order includes the sender's personal message to the family. The supplier receives an order sheet and a printable message card.
  • Each order keeps a fixed record of how the payment was split: who is paid, the percentages and the amounts in cents. This record does not change later, even if margins or commission rates change afterwards.
  • The recipient's delivery address is private. It is shown only to the supplier fulfilling the order, only so they can deliver it, and never on the public Wall. You and your suppliers must not use it for anything else.
  • [TO CONFIRM: how and when gift payments are paid out to suppliers and to the Funeral Home]

8. Walls, content and moderation

  • You publish a Wall only with the Family's agreement, and you are responsible for the accuracy of the notice, photos and details you publish.
  • You confirm that you have the Family's consent to publish the notice and photos, and to choose where support on the Wall goes.
  • You must not copy notices or content from other websites without the right to do so.
  • Condolences, candles and messages left on Walls can be reviewed and hidden. [TO CONFIRM: who moderates on funeral home Walls (the Funeral Home, the Family, RIP Ireland, or a mix), and how quickly removal requests must be handled]
  • We may remove content that breaks the law or our website Terms & Conditions, and we will tell you when we do. [TO CONFIRM: whether we notify the Funeral Home in every case]

9. Data protection

[TO CONFIRM by solicitor: this whole section, including whether a separate data processing agreement is needed]

  • RIP Funerals Limited t/a RIP Ireland is the data controller for personal data processed on the Platform, including accounts, Walls, condolences, supporters and gift senders, and payment records, as described in our Privacy Policy.
  • You are responsible for the content you publish and for having the Family's consent to publish it. Only upload what is needed for the notice.
  • Tell us promptly about any error in a Wall or any request from a Family to change or remove content.
  • Keep your logins secure, give access only to staff who need it, and tell us without delay if you suspect your account has been misused. [TO CONFIRM: the time limit for telling us about a suspected breach]
  • Personal data you see through the Platform (for example supporter names or a recipient's delivery address) may be used only for the purpose it was shared for. [TO CONFIRM by solicitor: whether the Funeral Home is a separate controller, a joint controller or a processor for any of this data]

10. Your account

  • Keep your funeral home's details, contact details and payout details accurate and up to date.
  • You are responsible for everything done through the accounts of people you give access to.
  • Use the Platform lawfully and respectfully, in line with our website Terms & Conditions.

11. What we provide

  • We provide the Platform with reasonable care and skill. We cannot promise that it will always be available without interruption.
  • You can reach us at hello@ripireland.ie. [TO CONFIRM: any support hours or service levels]

12. Names, logos and content

  • We own the Platform, including its software, design and our brand.
  • You keep the rights in your funeral home's name, logo and the content you provide, and you allow us to display them on the Platform for as long as these terms apply.
  • [TO CONFIRM: whether we may name your funeral home as a partner in our marketing, for example on our home page]

13. Liability

  • [TO CONFIRM: the limit on each side's liability under these terms]
  • [TO CONFIRM: the kinds of loss excluded]
  • [TO CONFIRM: whether each side gives an indemnity, for example for content published without the Family's consent]
  • Nothing in these terms limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.

14. Changes and ending these terms

  • These terms start when you sign them and continue until they are ended.
  • You may end these terms by telling us. [TO CONFIRM: the notice period, and what happens to an annual subscription already paid]
  • We may suspend or end these terms if you seriously break them, if fees go unpaid, or if we suspect fraud or misuse of the Platform. [TO CONFIRM: notice and the chance to put things right first]
  • [TO CONFIRM: what happens when these terms end to Walls already published, support payments still being paid out, gift orders not yet delivered, and charity handovers still due]
  • If we change these terms we will tell you in advance and ask you to accept the new version. We keep a record of which version you accepted. [TO CONFIRM: the notice period for changes]

15. General

  • These terms are governed by the laws of Ireland, and the Irish courts have exclusive jurisdiction.
  • Notices may be sent by email: to us at hello@ripireland.ie, and to you at the email address on your account.
  • [TO CONFIRM: entire-agreement, assignment and other standard clauses]
